In a shocking turn of events, the U.S. Securities and Exchange Commission (SEC) has filed charges against Tyler Loudon, the husband of a BP Plc manager, for engaging in insider trading linked to BP’s $1.3 billion acquisition of TravelCenters of America Inc.
This peculiar case sheds light on the potential dangers associated with remote work, as Loudon allegedly eavesdropped on his wife’s confidential work conversations to make a staggering Rs 14 crore profit from the stock market.
Loudon is accused of leveraging his wife’s position as an M&A manager at BP to gain access to privileged information regarding the TravelCenters deal. Seizing the opportunity presented by remote work, he purchased over 46,000 shares of TravelCenters stock before the official announcement of the merger on Feb. 16, 2023. This move allowed him to capitalize on a subsequent 71% increase in the stock’s value, resulting in a significant gain of $1.76 million.
Despite his wife being unaware of his actions, Loudon now faces serious legal consequences. He has pleaded guilty to securities fraud, exposing himself to a potential five-year federal prison sentence and a fine of up to $250,000. The charges brought by the SEC include violations of antifraud provisions of federal securities laws. As part of the ongoing legal proceedings, Loudon has consented to a partial judgment, pending court approval, which includes permanent injunctions, disgorgement of illicit profits with interest, and civil penalties. The U.S. Attorney’s Office for the Southern District of Texas has also announced criminal charges against Loudon.
